Dato’ Andri had served in the Judicial and Legal Service as Federal Counsel from 1990 until June 1994. He thereafter joined private practice with Abdul Kadir Kassim and is a founder partner of the firm Kadir, Andri & Partners.
Whilst in the Judicial and Legal Service, he has represented the Government of Malaysia in Court at all levels including in the Supreme Court such as the celebrated judicial review Hajjah Halimatussaadiah case, Election Courts in election petitions, medical negligence and land acquisition matters. In private practice, albeit on selected occasions, he has appeared in Court on commercial and corporate matters in particular those relating to mergers and acquisitions. Dato’ Andri was also part of the litigation team that had successfully defended the recent litigation relating to claim to the throne of the Sultan Terengganu that reached the Federal Court.
He currently heads the banking and finance team. Dato’ Andri was a member of the Law Revision Committee on Islamic Banking and Finance of Bank Negara Malaysia including the sub- committee on Review of Contracts Act and the sub-committees of the Islamic capital market working group of the Securities Commission. Both committees relate to reviewing aspects of laws and regulations to facilitate and advance Islamic banking and finance laws. He has served on Investigating Tribunals constituted under the Legal Profession Act 1976 and is currently a member of the Disciplinary Panel thereunder. He was a member of the Board of Studies for the post graduate degree of Master of Science in Islamic Banking and Finance and member of the Board of Studies for the post graduate degree of Master of Science in Islamic Capital market at International Islamic University Malaysia. He is a registered adjudicator and registered on the Islamic banking and finance of arbitrators at the Asian International Arbitration Centre.

The notable banking and finance matters including Islamic finance he has been directly involved include:
- the project financing of highways, water treatment plants, hospitals and power plants;
- various commercial and Islamic private debt securities issues aggregating over RM100 billlion and over USD 15 billion involving the Government of Malaysia, PETRONAS, Khazanah Nasional Berhad, Putrajaya Holdings Berhad, Cagamas Berhad involving various structures including exchangeables, convertibles and multitude of Islamic financing structures;
- debt and corporate restructuring exercise involving the debt restructuring with Corporate Debt Restructuring Committee (“CDRC”) of over RM4 billion debt;
- advising on the structures and establishment of ETFs;
- aircraft financing;
- receivables financing by financial intermediaries.
Dato’ Andri has also done extensive legal work relating to corporate finance including being directly involved in the following:
- the establishment and financing of REITs;
- the establishment of unit trusts;
- IPOs including that of Puncak Niaga Holdings Berhad and Malaysia Airports Holdings Berhad;
- Mergers and acquisitions including that of financial institutions such as RHB Bank with Kwong Yik Bank and of exchanges such as KLOFFE with COMMEX resulting in the creation of MDEX and the subsequent merger of MESDAQ under KLSE;
- exercises involving issue of shares, bonus issue, rights issue, redeemable preference shares with the biggest rights issue advising MISC Berhad in relation to its rights issue of RM5.2 billion;
- TIER 1 and TIER 2 conventional capital issuances for financial institutions, the Tier-2 capital by way of Islamic securities by Islamic banks;
- reduction of capital and capital restructuring exercises.
In addition to areas of finance, Dato’ Andri experience includes construction and projects including:
- advising MCH-JV relating to the joint-venture for Bakun Hydroelectric Project (Package CW2) and the construction related contracts for the Bakun Hydroelectric Project (Package CW2, construction of the Jelutong sewage treatment plant in Penang which was among the largest in Malaysia and Metrosphere Hydro Tersat Sdn Bhd relating to the development of a 4MWsmall hydro plant;
- development of wakaf property at Jalan Perak, Kuala Lumpur by Lembaga Tabung Haji and Tabung Haji Technologies Sdn Bhd with Majlis Agama Islam Wilayah Persekutuan.
Dato’ Andri also advised on the licensing, operational setting up and incorporation of Al-Rajhi Bank in Malaysia. Dato’ Andri was also consulted by Fitch Ratings on their maiden publication “Takaful- Methodology and Review”. He has also contributed a chapter in the Malaysian Sukuk Market Handbook published by RAM Rating Services Berhad.
